Terms of Service

Welcome to Sugurr! These Terms of Service ("Terms") are a binding legal agreement between you and Sugurr LLC. ("Sugurr," "we," "us," or "our") that governs your use of our website, mobile applications, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms, our Privacy Policy, and any other policies referenced herein. Please read this agreement carefully.

⚠️ This agreement contains a mandatory arbitration provision in Section 11 that requires the use of arbitration on an individual basis to resolve disputes, rather than jury trials or class actions.

1. Acceptance and Modification of Terms

By creating a Sugurr account or by using the Service, you accept this agreement and agree to be bound by its terms. If you do not agree to these Terms, you must not use the Service.

We may modify these Terms from time to time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 18 years of age to create an account and use the Service. By using the Service, you represent and warrant that:

  • You can form a binding contract with Sugurr;
  • You are not a person who is barred from using the Service under the laws of the United States or any other applicable jurisdiction;
  • You will comply with this Agreement and all applicable local, state, national, and international laws, rules, and regulations;
  • You have never been convicted of a felony or indictable offense (or crime of similar severity), a sex crime, or any crime involving violence, and that you are not required to register as a sex offender with any state, federal, or local sex offender registry.

3. Your Account

To use Sugurr, you may sign in using your email or other authorized methods. You are responsible for providing accurate, current, and complete information during the registration process. You are also responsible for safeguarding your account credentials and for all activities that occur under your account. If you believe your account security has been compromised, please contact us immediately.

4. Purchases, Subscriptions, and Refunds

a. Subscriptions

We offer certain enhanced features of the Service for a fee ("Subscriptions"). Subscription plans and their prices are available on our website.

b. Subscription Term and Renewal

Your Subscription is for a fixed term and will not automatically renew. To extend your membership after your Subscription expires, you must purchase a new Subscription. You can manage your Subscription details from the "Edit Account" page.

c. Refunds

You may request a full refund for your first Subscription order by contacting us within thirty (30) days of your payment date. All payments for any subsequent Subscriptions are non-refundable, and there are no refunds or credits for partially used periods.

5. Community Guidelines and Prohibited Activities

You agree to use the Service in a lawful, respectful, and responsible manner. You agree that you will not:

  • Use the Service for any purpose that is illegal or prohibited by this Agreement.
  • Use the Service for any harmful or nefarious purpose.
  • Use the Service in order to damage Sugurr.
  • Spam, solicit money from or defraud any Members.
  • Impersonate any person or entity or post any images of another person without his or her permission.
  • Bully, "stalk," intimidate, assault, harass, mistreat or defame any person.
  • Post any Content that violates or infringes anyone's rights, including rights of publicity, privacy, copyright, trademark or other intellectual property or contract right.
  • Post any Content that is hate speech, threatening, sexually explicit or pornographic.
  • Post any Content that incites violence; or contains nudity or graphic or gratuitous violence.
  • Post any Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual.
  • Solicit passwords for any purpose, or personal identifying information for commercial or unlawful purposes from other Members or disseminate another person's personal information without his or her permission.
  • Use another user's account, share an account with another user, or maintain more than one account.
  • Create another account if we have already terminated your account, unless you have our permission.

Sugurr reserves the right to investigate and/or terminate your account without a refund of any purchases if you have violated this Agreement, misused the Service or behaved in a way that Sugurr regards as inappropriate or unlawful, including actions or communications that occur on or off the Service.

6. Content and Rights

a. Your Content

You are solely responsible for all the information, photos, messages, and other content that you upload, publish, or display on the Service ("Content"). You retain all ownership rights to your Content.

b. Rights You Grant Sugurr

By posting Content as part of the Service, you automatically grant to Sugurr, its affiliates, licensees, and successors, an irrevocable, perpetual, non-exclusive, transferable, sub-licensable, fully paid-up, worldwide right and license to (i) use, copy, store, perform, display, reproduce, record, play, adapt, modify and distribute the Content, (ii) prepare derivative works of the Content or incorporate the Content into other works, and (iii) grant and authorize sublicenses of the foregoing in any media now known or hereafter created.

c. Rights Sugurr Grants You

Sugurr grants you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable license to access and use the Service for its intended purpose as outlined in these Terms.

7. Copyright Policy (DMCA)

Sugurr respects the intellectual property rights of others. If you believe that your work has been copied and posted on the Service in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information in accordance with the Digital Millennium Copyright Act (DMCA):

  • A description of the copyrighted work that you claim has been infringed.
  • A description of where the infringing material is located on the Service.
  • Your contact information, including address, telephone number, and email.
  • A written statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner.
  • A statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on their behalf.
  • An electronic or physical signature of the person authorized to act on behalf of the copyright owner.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" AND TO THE EXTENT PERMITTED BY APPLICABLE LAW, SUGURR GRANTS NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE WITH RESPECT TO THE SERVICE (INCLUDING ALL CONTENT CONTAINED THEREIN), INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SUGURR DOES NOT REPRESENT OR WARRANT THAT (A) THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR FREE, (B) ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED, OR (C) THAT ANY CONTENT OR INFORMATION YOU OBTAIN ON OR THROUGH THE SERVICE WILL BE ACCURATE.

SUGURR TAKES NO RESPONSIBILITY FOR ANY CONTENT THAT YOU OR ANOTHER MEMBER OR THIRD PARTY POSTS, SENDS OR RECEIVES THROUGH THE SERVICE. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN DISCRETION AND RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SUGURR, ITS AFFILIATES, EMPLOYEES, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, PUNITIVE, OR ENHANCED DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE, (II) THE CONDUCT OR CONTENT OF OTHER MEMBERS OR THIRD PARTIES ON, THROUGH, OR FOLLOWING USE OF THE SERVICE; OR (III) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR CONTENT, EVEN IF SUGURR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Account Termination

You may terminate your account at any time by following the instructions in the "Edit Account" section. We may suspend or terminate your account at any time without notice if we believe you have violated these Terms. Upon termination, you will not be entitled to any refund for purchases.

11. Dispute Resolution, Arbitration, and Class Action Waiver

a. Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by a neutral arbitrator, rather than in a court.

b. Class Action Waiver

YOU AND SUGURR AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

c. Opt-Out

You may opt out of this arbitration agreement. If you do so, neither you nor Sugurr can require the other to participate in an arbitration proceeding. To opt out, you must notify us in writing within 30 days of the date that you first become subject to this arbitration provision.

12. Governing Law

The laws of the State of California, without regard to its conflict of laws rules, will apply to any disputes arising out of or relating to these Terms or the Service. The exclusive venue for all disputes that are not subject to arbitration will be the state and federal courts located in Los Angeles County, California.

13. Indemnity by You

You agree to indemnify, defend, and hold harmless Sugurr, our affiliates, and their respective officers and employees from and against any and all claims, demands, losses, costs, and expenses (including reasonable attorneys' fees) due to or arising out of your use of the Service, your Content, or your breach of these Terms.

14. General Provisions

These Terms, along with the Privacy Policy, constitute the entire agreement between you and Sugurr regarding the use of the Service. If any provision of these Terms is held invalid, the remainder of the Terms shall continue in full force and effect.
